Custom Projects
Overview
Custom Projects are one-time, individually scoped engagements. Each project is defined in a written proposal that sets out its deliverables, timeline and fee. Custom Projects may include:
Branded multichannel DTC launch sprints with our agency partners
Wardrobe styling for DTC editorial and product shoots
Custom market research projects
Campaign graphic design bundles
Custom brand and product SWOT analysis
These terms apply to every Custom Project. Where the proposal and these terms differ, the proposal governs for that project.
Scope of Work
The scope of each project is limited to what the signed proposal describes. Unless explicitly agreed in writing, a Custom Project does not include:
Ongoing ad, email or account management after delivery
Ad spend, which is paid directly by the Client to the platform
Production costs, such as photographers, models, hair and makeup, locations, studio hire, props, and garment purchases or rentals
Printing, shipping, travel or third-party software and subscriptions
Shopify theme development, website design or CRO implementation (unless scoped with Shopify partners)
Requests outside the agreed scope require a written change order with its own fee and timeline.
Deliverables
Deliverables, formats and quantities are listed in the project proposal. Projects may include rounds of revisions on the delivered work, determined at time of agreement. Additional revisions are billed by context.
Research and SWOT deliverables are provided as strategic recommendations for the Client's internal use.
Agency Responsibilities
We agree to:
Review all materials and information provided by the Client with reasonable care and professionalism
Deliver the agreed scope based on experience, best practices and the information available at the time
Communicate clearly regarding scope, budgets, timelines and next steps
Provide responses within 3 business days
Client Responsibilities
The Client agrees to:
Provide accurate and complete information during kickoff
Grant access to the accounts, platforms and documents the project requires
Supply brand assets, product samples and imagery on schedule
Approve drafts, shot lists and requests within 3–5 business days
Cover agreed production costs directly or reimburse them on receipt
The 3–5 business day window keeps the project on schedule. If the Client is unresponsive for more than 14 consecutive days, the Agency may pause the project and reschedule delivery to its next availability. If the Client is unresponsive for more than 30 consecutive days, the project may be closed and fees for work completed become due.
For styling engagements, rescheduling or cancelling a confirmed shoot day with less than 72 hours notice incurs a fee of $100.
Timeline
Each project begins once the deposit is paid and the kickoff call is held. The proposal sets an estimated delivery date. Timelines are estimates and may vary based on:
Client responsiveness and approval turnaround
Availability of samples, assets and production partners
Platform review or approval delays
Unforeseen circumstances or force majeure
Payment & Refund Policy
A deposit of 50% of the project fee is due to book the project. The remaining balance is due at project timeline midpoint. Final files are released once the project is paid in full.
The deposit is fully refundable within 24 hours of payment, provided work has not begun.
Once work has begun, the deposit is non-refundable.
If the Client cancels mid-project, fees for all work completed to that point are due.
In the event of a chargeback or payment dispute initiated by the Client after work has commenced, the Agency reserves the right to pause work and withhold deliverables until the matter is resolved.
Intellectual Property, Marketing & Confidentiality
All deliverables created under a Custom Project become the Client's property once the project is paid in full. The Agency's frameworks, methods, templates and processes remain the Agency's intellectual property. For styling engagements, image rights are governed by the Client's agreement with the photographer; the Agency may share final images in its portfolio with credit.
The Agency retains the right to use the Client's name, logo, general project descriptions, testimonials and anonymized learnings for marketing, portfolio and case studies, unless the Client requests otherwise in writing.
Sensitive internal data remains strictly confidential, including (but not limited to) client lists and contacts, financial records and pricing, proprietary processes or SOPs, internal communications, login credentials and anything the Client marks as confidential. These obligations apply to both parties and survive the end of the engagement.
Exceptional Circumstances
If the project cannot be delivered due to Agency staff illness or force majeure, a prorated refund will be issued for any undelivered portion of the agreed scope. In rare cases where expectations are clearly misaligned before meaningful work is delivered, a partial refund of the deposit may be issued at the Agency's discretion.
Confidentiality, Data & AI Tools (GDPR)
All business information shared is strictly confidential and handled according to GDPR standards. We only collect the minimum data necessary to perform the service and will never share it with third parties. We use AI-assisted tools to support delivery, including organizing and summarizing information you share with us. Your data is processed confidentially, is not shared with third parties and is not used to train AI models. By engaging our services, you consent to this use of AI tools as part of our workflow. If tool access is granted, it is the Client's responsibility to revoke it once the project ends.
Nature of Service & Liability
Custom Projects provide strategy, research, creative and styling services. The Client is responsible for how deliverables are used and for all resulting business outcomes. No specific results, including sales, ROAS or revenue targets, are guaranteed. Research and SWOT findings are informational and do not constitute legal, financial or investment advice. The Agency is not an executive decision-maker, business coach or COO. To the maximum extent permitted by law, liability is limited to the fees paid for the project in question.
Expanded Services
Qualified Clients may be offered expanded services, such as consulting or ongoing management. These require a separate agreement. Completing a Custom Project does not obligate either party to proceed to expanded services or guarantee an offer of them.
Governing Law
These terms are governed by the laws of the United States. Any disputes will be handled under United States jurisdiction unless otherwise agreed in writing.
Acceptance of Terms
By paying the project deposit, the Client agrees to these terms and conditions and to the signed project proposal.
