Meta Ads Management

Overview

Meta Ads Management is an ongoing monthly service for Meta ad accounts with monthly ad budgets of $10,000 or less. It covers the account strategy, management, testing, and optimization of the Client's Meta ad campaigns, informed by Shopify and Meta ad performance data. The purpose of this service is to scale the Client's ad revenue efficiently.

Meta Ads Management covers Meta advertising only. It does not include email marketing or website changes.

Scope of Work

Meta Ads Management is strategic and performance optimization-focused.

Unless explicitly agreed in writing, it does not include:

  • Ad spend, which is paid directly by the Client to Meta

  • Accounts with monthly ad budgets above $10,000, which require a re-scoped agreement

  • Klaviyo or other email marketing

  • Photo or video shoots, or creative volume beyond the agreed monthly allotment

  • Shopify theme development, website design or CRO implementation

  • Advertising platforms other than Meta

Any work outside the scope of Meta Ads Management requires a separate agreement.

Deliverables

Meta Ads Management includes:

  • 20–40 ad creatives per month, scoped by ad budget

  • Ad campaign structures

  • Audiences, testing framework and cadence

  • Ad creative angle development

  • Tracking and optimization setup

  • Weekly and monthly KPI reporting

Agency Responsibilities

We agree to:

  • Review all materials and information provided by the Client with reasonable care and professionalism

  • Manage campaigns based on experience, best practices, and performance data available at the time

  • Communicate clearly regarding scope, budgets, timelines, and next steps

  • Provide responses via Slack within 3 business days

Client Responsibilities

The Client agrees to:

  • Provide accurate and complete information during onboarding

  • Grant access to the Meta ad account, Business Manager, Shopify, and relevant documents

  • Maintain a valid payment method on the Meta ad account and fund the agreed ad budget

  • Supply brand assets and product imagery, and approve creatives and requests within 3–5 business days

The 3–5 business day window is a preferred response time to keep campaigns running efficiently. Work won't be immediately paused over a delayed reply, but if the Client remains unresponsive for more than 14 consecutive days, the Agency reserves the right to pause active campaigns and end the engagement at the close of the current billing month. Re-starting a closed engagement may incur an additional onboarding fee.

Timeline

Meta Ads Management begins on the date onboarding materials are sent to the Client and renews monthly. Either party may cancel with 30 days' written notice.

Performance timelines are estimates and may vary based on:

  • Client responsiveness and approval turnaround

  • Ad budget, account history, and learning-phase duration

  • Ad account review, restriction or approval delays by Meta

  • Seasonality and market conditions

  • Unforeseen circumstances or force majeure

Results timelines are not guaranteed.

Payment & Refund Policy

The monthly management fee is billed in advance at the start of each billing month. Ad spend is billed by Meta directly to the Client and is not included in the management fee.

  • The first month's fee is fully refundable within 24 hours of purchase, provided work has not begun.

  • After 24 hours: If onboarding has not been completed and no work has begun, a partial refund of up to 50% of the first month's fee may be issued at the Agency's discretion.

  • Once a billing month has begun: That month's fee is non-refundable.

In the event of a chargeback or payment dispute initiated by the Client after work has commenced, the Agency reserves the right to pause all campaigns and withhold deliverables until the matter is resolved.

Intellectual Property, Marketing & Confidentiality

All ad creatives, campaign structures, and materials delivered under Meta Ads Management are created for the Client's use and become the Client's property once the corresponding month is paid in full. The Agency's frameworks, methods, templates, and processes remain the Agency's intellectual property. The Agency retains the right to use the Client's name, logo, general project descriptions, testimonials, and anonymized learnings for marketing, portfolio, and case studies, unless the Client requests otherwise in writing.

Sensitive internal data remains strictly confidential, including (but not limited to) client lists and contacts, financial records and pricing, proprietary processes or SOPs, internal communications, login credentials, and anything the Client marks as confidential. These confidentiality obligations apply to both parties and remain in effect indefinitely, surviving the end of the engagement. If the Client wishes to remain anonymous in any public materials, they may notify the Agency in writing at any time.

Exceptional Circumstances

If the service cannot be delivered due to Agency staff illness or force majeure, a prorated refund will be issued for any portion of the billing month not serviced. In rare cases where expectations are found to be clearly misaligned prior to meaningful work being delivered, a partial refund (up to 25%) of the first month's fee may be issued at the Agency's discretion.

Confidentiality, Data & AI Tools (GDPR)

All business information and system structures shared are strictly confidential and handled according to GDPR standards. We only collect the minimum data necessary to perform the service and will never share it with third parties. We use AI-assisted tools to support the delivery of this service, including organizing and summarizing information you share with us. Your data is processed confidentially, is not shared with third parties, and is not used to train AI models. By engaging our services, you consent to this use of AI tools as part of our workflow. If tool access is granted, it is the Client's responsibility to revoke it once the engagement ends, though they may do so at any time.

Nature of Service & Liability

Meta Ads Management is an execution service focused on Meta advertising performance for Shopify brands. The Client is responsible for setting ad budgets, approving creatives, and all resulting business outcomes. No specific results, including ROAS, CPA, or revenue targets, are guaranteed. The Agency is not responsible for ad account restrictions, policy changes, or platform outages outside its control. The Agency is not an executive decision-maker, business coach, or COO. To the maximum extent permitted by law, liability is limited to the management fees paid in the three months preceding the claim.

Expanded Services

Qualified Clients will be offered expanded services, such as the installation of our proprietary marketing system, the Responsible Growth Engine™, or management of accounts above $10,000 in monthly ad spend. These require a separate agreement. Engaging Meta Ads Management does not obligate either party to proceed to expanded services, ensuring that a high standard of professional and operational alignment is maintained for any subsequent work.

Both the Agency and the Client reserve the right to decline moving forward into expanded services for any reason. Engaging Meta Ads Management does not guarantee an offer of expanded services, and those services are governed by their own separate agreements and are not covered under these terms.

Governing Law

These terms are governed by the laws of the United States. Any disputes will be handled under United States jurisdiction unless otherwise agreed in writing.

Acceptance of Terms

By completing payment for Meta Ads Management, the Client agrees to these terms and conditions.
